2. Acceptance of Terms

By accessing this Website or engaging siamvertexese's Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you should not use this Website or proceed with any engagement. You must be at least 18 years of age and have the legal capacity to enter binding agreements under Thai law.

3. Service Description

siamvertexese provides management consulting services to organizations in Thailand and across the ASEAN region. Core programs — Strategic Growth Advisory, Operational Refinement, and Executive Leadership Alignment — are delivered on a defined-scope, fixed-fee basis. Specific scope, deliverables, timeline, and fees are confirmed in writing before commencement. Services are subject to advisor availability and we reserve the right to decline engagements at our discretion.

4. User Responsibilities

When using this Website or participating in an engagement, you agree to:

• Provide accurate and complete information in all communications with us
• Not use the Website for any unlawful or unauthorized purpose
• Not attempt to disrupt or compromise the security or performance of the Website
• Not reproduce, redistribute, or commercially exploit any Website content without our written consent

5. Intellectual Property

Deliverables produced during a consulting engagement are governed by the terms of the relevant engagement letter. In the absence of specific agreement, ownership of engagement deliverables remains with siamvertexese until all fees are fully paid, at which point a licence to use the deliverables for internal purposes is granted to the client.

6. Payment Terms

Fees for consulting engagements are specified in the relevant proposal or engagement letter and are denominated in Thai Baht (THB) unless otherwise agreed. Payment terms are as follows:

• A deposit of 40% of the total engagement fee is due upon signing of the engagement letter
• Remaining fees are payable in accordance with the milestone schedule set out in the engagement letter
• Invoices are payable within 15 business days of issue
• Late payment may result in suspension of engagement activities

Refunds are not available for completed engagement phases. If an engagement is terminated by the client prior to completion, fees for work completed to the date of termination are payable in full.

7. Confidentiality

Both parties acknowledge that information exchanged during an engagement may be commercially sensitive. siamvertexese treats all client information as strictly confidential and will not disclose it to third parties without the client's prior written consent, except as required by law. Clients are similarly expected to treat siamvertexese's proprietary methodologies and materials with appropriate confidentiality. A formal Non-Disclosure Agreement is signed at the commencement of every engagement.

8. Disclaimers

This Website and our Services are provided on an "as is" basis. While we exercise reasonable care in preparing all materials and recommendations, we make no representations or warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of any content or advice provided.

Consulting engagements involve judgment and analysis under conditions of uncertainty. siamvertexese does not warrant that any particular outcome will be achieved as a result of our recommendations. Business decisions remain the sole responsibility of the client's management.

9. Limitation of Liability

To the fullest extent permitted by Thai law, siamvertexese's total liability to any client in connection with a consulting engagement shall not exceed the total fees paid by that client for the relevant engagement. We shall not be liable for any indirect, consequential, special, or incidental loss or damage, including loss of profits or business opportunity, even if advised of the possibility of such loss.

10. Indemnification

You agree to indemnify and hold harmless siamvertexese, its advisors, and affiliates from and against any claims, damages, losses, or costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or any false or misleading information you provide in connection with an engagement.

11. Termination

Either party may terminate a consulting engagement by providing written notice in accordance with the terms of the relevant engagement letter. Upon termination, the client shall pay all fees due for work completed to the termination date. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.

12. Dispute Resolution

These Terms and any engagement are governed by the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute. If resolution is not reached, the dispute shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

13. General Provisions

• Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties on the relevant subject matter.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.

14. Changes to These Terms
